Duties of the Board of Directors | |
President |
The president shall be the chief executive officer of the Association. He/she shall have all of the powers and duties which are usually vested in the office of President of an Association, including, but not limited to, the power to appoint committees from among members, from time to time, as he/she may at his/her discretion, determine appropriate to assist in the conduct of the affairs of the Association. The President shall be a member of the Board and shall serve as its chairperson. |
Vice President |
The Vice President shall in the absence or disability of the President, exercise the powers and perform the duties of the President. He/she shall also generally assist the President and exercise such other powers and perform such other duties as shall be prescribed by the directors or President. |
Secretary |
The secretary shall be responsible for seeing that all minutes of all proceedings of the directors are recorded, have custody of the seal of the Association and affix the same to instruments requiring a seal when dutifully signed, keep the records of the Association and shall perform all other duties incident to the office of Secretary of an Association and as may be required by the director or President. Proceedings may be taped and thereafter notes taken and minutes prepared. |
Treasurer |
The Treasurer shall have the responsibility for the custody of all of the funds, securities and evidences of indebtedness of the Association. He/she shall see that the assessment rolls and accounts of the members and the books of the Association are kept in accordance with good accounting practice and shall perform all other duties incident of the office of Treasurer. |
